Establishingan LLC
For accounting clients, we provide free company registration services!
For the LLCestablishmentprocess, please bring:
- your personal identification document;
- your personal tax number;
- a notarized consent from the property owner where your business address will be located, if you are not the owner (of the building, apartment, or house). We offer accounting clients the option to register their business address at our location.
Please alsoprepare:
- the name of the LLC;
- a list and personal identification documents of representatives (minimum one representative);
- the registered office or business address of the company;
- an approximate list of activities, which you can find here
LLC registrationprocessat ourSPOT office:
- we prepare all necessary documentation and register the LLC in the court register;
- we register the LLC in the tax register with the Financial Administration (tax number acquisition process);
- we register you for mandatory social insurance – M1 form;
- we discuss ACCOUNTING matters (review business operations, determine monthly flat rate, discuss preparation of final reports and balance sheets);
- we arrange self-employment or employment of another person with the Health Insurance Institute (if required).
SPOT office proceduresarecarried out through the Chamber for Education and Development of Slovenian and Foreign Entrepreneurs.
Upon establishment, youwillreceive:
- Articles of Association/Company Agreement;
- Resolution on the appointment of representatives;
- Resolution on the determination of the business address.
After LLC registration:
- after signing all relevant documents, as a newly established LLC you will OPEN A TEMPORARY BANK ACCOUNT (for depositing the required initial capital).
- after opening the temporary bank account, you return to our SPOT office and bring the original bank confirmation;
- based on this, we submit all documentation TO THE REGISTRATION COURT;
- if all documentation is in order, the company is REGISTERED within 7 days;
- after receiving the Resolution on registration in the company register, the entrepreneur converts the temporary account into a BUSINESS ACCOUNT (minimum EUR 7,500 initial capital).
